These Terms of Service ("Terms") govern your use of the services provided by Praxis Works LLC ("we," "us," or "our"), including the CreatorSignal platform ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, joining our waitlist, or otherwise using our Services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

CreatorSignal is an AI-powered content strategy tool for YouTube creators. The platform allows users to submit video ideas and receive validation reports that include demand research, scoring, verdicts, and actionable recommendations based on data sourced from YouTube, Reddit, Hacker News, X/Twitter, and other sources.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@creatorsignal.io if you suspect any unauthorized use of your account.

4. Subscriptions and Billing

Some features of CreatorSignal require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis depending on your chosen plan.

  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods.
  • Price changes: We reserve the right to change our pricing with reasonable advance notice. Continued use of the Services after a price change constitutes your acceptance of the new pricing.
  • Payment processing: Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Transmit harmful, offensive, or unlawful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use automated means to access or scrape the Services without our prior written consent
  • Resell or sublicense access to the Services without our prior written consent

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, and underlying technology — are owned by Praxis Works LLC or its licensors and are protected by applicable intellectual property laws.

You retain ownership of the content you submit to the Services (e.g., video ideas). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display that content solely for the purpose of providing the Services to you.

7. Third-Party Services

Our Services integrate with third-party APIs and services including YouTube Data API, Exa, xAI, Anthropic, Stripe, and Slack. Your use of those third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability or accuracy of third-party services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Validation reports and recommendations generated by CreatorSignal are provided for informational purposes only and do not constitute a guarantee of any particular outcome. You are solely responsible for decisions made based on information provided by the Services.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXIS WORKS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Praxis Works LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
